ScaleLogix Governing Terms

The following documents describe the legal and operational framework governing services provided by ScaleMethods Partners LLC, doing business as ScaleLogix ("ScaleLogix"). For reference, certain services are delivered through ScaleLogix A.I. Consulting, LLC, an affiliated entity operating under common ownership.

These materials are provided for reference by existing clients operating under executed agreements with ScaleLogix.

For clients operating under a signed agreement with ScaleLogix, the executed agreement between ScaleLogix and the client governs the relationship and controls in the event of any conflict with materials on this page.

1. Infrastructure License & Operations Agreement

ScaleLogix provides licensed operational infrastructure and advisory services to businesses deploying automation, AI workflows, CRM systems, and related operational technologies.

The Infrastructure License & Operations Agreement establishes the core terms governing:

  • Access to ScaleLogix operational infrastructure
  • Advisory and implementation services
  • Licensing of systems and frameworks
  • Client responsibilities and limitations
  • Dispute resolution and governing law

Clients who have executed an Infrastructure License & Operations Agreement remain governed by that agreement for the duration of the relationship.

2. Marketing Activation Addendum

Certain clients may elect to activate optional demand generation, campaign deployment, or media placement services.

These services are governed by the Marketing Activation Addendum, which supplements the Infrastructure License & Operations Agreement.

The addendum describes:

  • The structure of marketing activation
  • Campaign authorization processes
  • Operational responsibilities
  • Limitations regarding campaign performance and media results

Marketing services are optional, are not part of the infrastructure license, and are activated only through a separate signed Marketing Services Order Form.

3. Marketing Order Forms & Campaign Authorizations

When marketing services are activated, clients authorize campaigns through a signed Marketing Services Order Form. No marketing services will be initiated based solely on verbal authorization, informal written communication, or platform-level confirmations.

Order forms define:

  • Campaign type and service scope
  • Pricing or media budgets
  • Applicable billing periods
  • Client acknowledgment of performance limitations

Order forms supplement the governing agreement but do not replace it.

4. Operational System Activation

Clients may activate their ScaleLogix infrastructure environment through system activation processes within the platform or onboarding workflows.

Activation confirms that:

  • The operational infrastructure has been provisioned
  • Client access has been granted
  • The system environment is live

Activation of infrastructure does not activate marketing services, modify the underlying agreement, or create any obligation for the purchase of additional services.

5. Terms of Service

The ScaleLogix Terms of Service govern general use of the ScaleLogix website and online platforms.

Where a client has executed a separate agreement with ScaleLogix, that agreement controls the commercial relationship.

6. Agreement Hierarchy

Where multiple documents apply to a client relationship, the following order governs unless otherwise specified in writing:

  1. Executed Infrastructure License & Operations Agreement
  2. Applicable Addendums
  3. Signed Marketing Services Order Forms
  4. Website Terms of Service

7. Updates to Reference Materials

ScaleLogix may update the reference materials published on this page from time to time.

Such updates do not automatically modify executed agreements unless expressly incorporated through amendment or written authorization signed by both parties.

8. Payment Disputes and Dispute Resolution

All fee-related disputes must be submitted in writing to ScaleLogix at compliance@scalemethods.com within thirty (30) days of the disputed charge. Clients agree to engage ScaleLogix's internal dispute resolution process prior to initiating any chargeback, payment reversal, or third-party payment dispute with a financial institution or card network.

Fees paid under an executed agreement reflect agreed consideration for defined contractual deliverables. Initiation of a chargeback or payment reversal without first exhausting the contractual dispute process constitutes a breach of the applicable agreement and may result in collection action, suspension of services, and recovery of associated costs including reasonable attorneys' fees.

9. Electronic Acceptance & Authorization

Certain actions within the ScaleLogix platform or onboarding systems may require users to confirm activation, authorize services, or approve campaign deployment.

By selecting buttons such as "Activate," "Confirm," "Authorize," "Approve," or similar electronic acknowledgments, the client confirms that:

  • The action constitutes an electronic acceptance and authorization under the applicable ScaleLogix agreement
  • The individual performing the action has authority to act on behalf of the client entity
  • The client authorizes ScaleLogix to initiate the specific action identified on the applicable screen or form
  • Such actions are binding and have the same legal effect as a written signature

Each electronic acceptance is limited in scope to the specific action being confirmed and does not authorize separate, additional, or downstream services not explicitly identified in the applicable form or activation screen.

ScaleLogix may rely on electronic records including timestamps, user accounts, IP addresses, and system logs to document acceptance and authorization.

Electronic acceptances are recognized under applicable electronic transaction laws, including the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and similar laws governing electronic agreements.

Updated Marketing Services Pre-Access Clickwrap

  • I confirm that my ScaleLogix infrastructure build has been completed and my systems are live.
  • I represent that I am executing this acknowledgment in my capacity as an authorized representative of an existing business entity and that I am doing so for commercial business purposes, not as a consumer or prospective business opportunity purchaser.
  • I acknowledge that I entered into a Master Services Agreement with ScaleLogix prior to this acknowledgment, under which my licensed infrastructure has been deployed and is operational. This acknowledgment is subject to and governed by that executed agreement, which controls in the event of any conflict with this acknowledgment.
  • I understand that ScaleLogix is a technology infrastructure licensing company and does not sell business opportunities, income systems, or turnkey businesses. Marketing services are ancillary to and legally independent from the infrastructure license relationship.
  • I understand that marketing services are entirely separate from my infrastructure license. Marketing services are not included in my Implementation Fee, Continuity Fee, or any other fees paid under my existing Agreement.
  • I understand that reviewing marketing service options does not create any obligation to purchase. No marketing services will be activated without my separate written authorization via a signed Marketing Services Order Form.
  • I understand that marketing services — including paid advertising, campaign management, and outbound execution — do not guarantee leads, appointments, customers, revenue, or any specific business outcome. Results depend on market conditions, budget, targeting, offer quality, and factors outside ScaleLogix's control.
  • I understand that all advertising spend, media costs, data acquisition costs, and third-party platform fees are my sole responsibility and are separate from any service fees charged by ScaleLogix.
  • I understand that any decision to purchase marketing services will be made after full review of the applicable Marketing Services Order Form, and that all marketing service fees, once authorized, reflect agreed consideration for defined scope deliverables and not performance guarantees.
  • I have not relied on any verbal representations, projections, case studies, or examples of prior results in deciding to review or consider marketing services, and I understand that any such representations are not binding on ScaleLogix.
  • I understand that my infrastructure license remains fully functional and independent regardless of whether I purchase marketing services. Marketing services are optional and are not required to operate my business or use my licensed infrastructure.
